   Procedure:
   1. Buyer confirms Soft Offer and acceptance of the procedures and issues an LOI.
   2. Seller issues Full Corporate Offer to the Buyer for signatory and acceptance.
   3. Buyer signs, seals and returns the Full Corporate Offer and issues ICPO with right to soft probe together with full banking details including bank officer’s name and other particulars.
   4. Seller issues draft contract to implement this agreement and after signing and sealed, copies are exchanged. The transaction and verification process must proceed within 5(five) working days.
   5. It is mandatory to register and legalize the contract/ product officially with the Russian Ministry of Energy and the Russian Chamber of Commerce, the expenses will be borne by Seller and Buyer and negotiation starts with transaction code №……………. from the Ministry of Energy. These expenses will be borne by the Seller and Buyer and it is NOT NEGOTIABLE.
   Upon lodging of the signed contract for registration and legalization, seller issues to buyer invoice for buyer’s 50% payment as required along with;
   a. Certificate of Origin endorsed by the Russian Chambers of Commerce and Industry
   b. Letter of Affirmation from the Ministry of Justice.
   c. Corporate Guarantee/Addendum.
   d. Refinery Affidavit. e. Export Permit.
   e. Export Permit.
   6. Seller sends to buyer Legalized Contract along with the Act of Transfer/Change of Ownership Title Holder.
   7 Within 5(Five) banking days of buyer’s receipt of Legalized Contract, buyer issues via swift bank to bank Proof of Funds (MT-799) to seller’s bank by the way of pre-advice Letter of Credit.
   8 Seller’s bank issue Full POP bank to bank..
   9 Within 5(Five) banking days of seller’s bank receiving the Non-Operative Letter of Credit, the seller shall open the 2% PB in favor of the buyer and this shall activate buyer’s Letter of Credit.
   10 Delivery commence as scheduled.
